Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Buyer", "Customer", or "you") and BEANTEX ("we", "our", or "us") whenever you browse www.beantex.com (the "Site"), submit an inquiry, or place a purchase order. By using the Site or engaging BEANTEX in any commercial correspondence, you accept these Terms in full.

1. About BEANTEX

BEANTEX is a China-based B2B textile trading company headquartered in Suzhou, Jiangsu Province. We supply apparel fabrics, home textiles, garment accessories, and yarns / fibers to importers, brands, and manufacturers worldwide.

2. Site Content

Product photographs, technical specifications, and color swatches shown on the Site are for reference only. Physical samples must be reviewed and approved in writing before bulk production. Slight variation between screen images, lab-dip samples, and bulk production is normal for textile products and does not constitute a defect.

3. Quotations and Orders

• All quotations issued by BEANTEX are valid for 30 days unless stated otherwise.
• Minimum Order Quantity (MOQ), unit price, and lead time are confirmed on the Proforma Invoice (PI).
• A purchase order is deemed accepted only after BEANTEX countersigns the PI or issues a formal Sales Contract.
• Prices are quoted in USD unless otherwise agreed. Currency fluctuation of more than 3% may trigger a price review before shipment.

4. Samples

Sales samples (yardage samples) are chargeable and shipped freight-collect on the Buyer's forwarder account. Sample fees are creditable against a subsequent bulk order that exceeds the MOQ.

5. Payment Terms

• Default: 30% T/T deposit upon PI signing, 70% balance against copy of Bill of Lading.
• L/C at Sight is accepted for orders above USD 50,000, issued from a reputable bank.
• Bank charges outside the Buyer's country are for the Buyer's account.
• Late payment beyond 15 days of the due date will incur an interest of 0.05% per day, calculated on the outstanding amount.

6. Delivery and Incoterms

All shipments are governed by Incoterms 2020. Default trade term is FOB Shanghai unless otherwise specified. Lead time starts from receipt of deposit and approval of pre-production sample. Force majeure events (natural disasters, port strikes, pandemic restrictions) may extend the delivery period without penalty.

7. Quality and Claims

• Buyer must inspect the goods within 15 days of arrival at the destination port.
• Any quality claim must be submitted in writing with clear photographs and, where applicable, third-party testing reports (SGS / Intertek / BV).
• BEANTEX will investigate valid claims and, at its discretion, offer replacement, credit note, or refund on the affected portion.
• Claims lodged after 30 days from arrival, or on goods that have been processed / cut, will not be accepted.

8. Intellectual Property

All logos, product photographs, videos, catalogs, and written content on the Site are the property of BEANTEX or its licensors and are protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works without prior written permission.

Where the Buyer supplies designs, artwork, or branded labels, the Buyer represents and warrants that they hold the necessary rights and indemnifies BEANTEX against any third-party IP claim.

9. Confidentiality

Both parties will treat as confidential any pricing, technical, or commercial information disclosed during the course of business, and will not disclose such information to third parties without written consent, except as required by law.

10. Limitation of Liability

To the maximum extent permitted by law, BEANTEX's total liability for any claim arising out of a transaction shall not exceed the invoice value of the specific order that gave rise to the claim. In no event shall BEANTEX be liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-laws principles and the CISG). Any dispute arising out of or in connection with these Terms shall first be settled through friendly negotiation. If negotiation fails within 30 days, the dispute shall be finally submitted to the China International Economic and Trade Arbitration Commission (CIETAC), Shanghai Sub-Commission, for arbitration in accordance with its rules. The arbitral award shall be final and binding.

12. Changes to These Terms

BEANTEX may revise these Terms at any time by posting an updated version on the Site. The revised Terms take effect on the "Last updated" date shown above. Continued use of the Site indicates your acceptance of the revised Terms.
